Terms of Service

1. About EA Desk
EA Desk (“EA Desk,” “we,” “us,” or “our”) provides standardized, subscription-based access to a cloud business management software application. The software helps customers organize business information such as customer records, product records, order records and operational reports.

2. Eligibility and accounts
You must be legally capable of entering into a binding agreement in your jurisdiction. You are responsible for information submitted through your account, safeguarding your credentials and activities performed through your account.
3. Subscription plans and recurring charges
EA Desk is offered through recurring subscription plans. Before purchase, the checkout displays the applicable price, billing interval and any applicable taxes. Unless canceled, a monthly subscription renews automatically each month and the payment method on file may be charged for the then-current subscription price plus applicable taxes.
You may cancel before the next renewal through the available customer billing portal or by contacting support. Unless otherwise required by law or expressly stated at checkout, cancellation is effective at the end of the then-current paid billing period and you retain access until that period ends.
4. Payment and Merchant of Record
Purchases through our Polar checkout are sold and processed by Polar Software, Inc. (“Polar”) as Merchant of Record and authorized reseller. Polar is responsible for the checkout transaction, payment processing, applicable transaction taxes and the buyer-facing purchase terms that apply to the transaction. Your right to access and use EA Desk remains subject to these Terms.
Do not send us full payment-card details. Payment information entered at checkout is handled by Polar and its payment providers under their own terms and privacy practices.
5. Product delivery
Following successful purchase and confirmation of an active subscription, access to the applicable EA Desk plan is delivered electronically to the customer account. Access remains available while the subscription is active, subject to these Terms.
6. Refunds
Refund eligibility is governed by our Refund Policy, mandatory rights under applicable law and any refund action Polar may take in its capacity as Merchant of Record.
7. Acceptable use
You may use EA Desk only for lawful business purposes. You must not use the product to violate law, infringe intellectual property or privacy rights, distribute malware, access systems without authorization, abuse the service or interfere with other users. Additional rules appear in our Acceptable Use Policy.
8. No professional or custom-development services included
The subscription provides access to the standardized EA Desk software product. It does not include custom software development, consulting, legal, tax, accounting, financial, medical or other professional services unless a separate written agreement explicitly states otherwise. No such separate services are sold through the EA Desk subscription checkout.
9. Intellectual property
EA Desk and its software, interface, documentation, branding and original content are owned by us or our licensors and are protected by applicable intellectual-property laws. Subject to these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable right to access and use EA Desk for your internal lawful purposes.
10. Customer data
You retain rights in content and business data that you submit to the service. You grant us the limited rights necessary to host, process, transmit and display that data solely to operate, secure and improve the service and to comply with law. Our handling of personal data is described in our Privacy Policy.
11. Availability and changes
We work to keep the service available but do not guarantee uninterrupted or error-free operation. We may improve, modify or discontinue features. If a material change significantly reduces the core functionality of a paid plan, we will use reasonable efforts to provide notice where appropriate.
12. Suspension and termination
We may restrict or terminate access when reasonably necessary to address fraud, security threats, non-payment, unlawful use, material breach of these Terms, abuse of the service or legal requirements. Where appropriate, we will attempt to provide notice.
13. Disclaimers
To the maximum extent permitted by law, EA Desk is provided on an “as available” basis. We do not warrant that the service will meet every business requirement or that all errors will be corrected. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
14. Limitation of liability
To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenues, business opportunities or data, arising from use of the service. Any limitation applies only to the extent legally permitted and does not limit liability that cannot lawfully be limited.
15. Changes to these Terms
We may update these Terms when the service, law or business requirements change. We will publish the revised version with an updated effective date and provide additional notice when required by law.
16. Governing law
These Terms are governed by the laws applicable to the operator identified above, subject to mandatory consumer-protection rules that may apply in the customer’s jurisdiction. Before publishing, obtain local legal advice if you need a specific forum, arbitration clause or jurisdiction-specific wording.
